Definitions

For the purposes of this Agreement, the following definitions apply:

• "Platform" means the spinco website at spinco.bio, all associated subdomains, mobile-optimised interfaces, and any applications made available by spinco for accessing its gaming services.
• "Account" means the registered player account created by a User on the spinco Platform, through which the User accesses gaming services, manages funds, and interacts with the Platform.
• "Funds" means the Philippine Peso (₱) balance held within a Player's spinco wallet, inclusive of real-money deposits and any bonus credits that have satisfied applicable wagering requirements.
• "Bonus" means any promotional credit, free spin allocation, cashback award, or other non-cash incentive granted to a Player by spinco subject to specific terms and wagering requirements.
• "Wagering Requirement" means the total volume of qualifying bets a Player must place before bonus-derived balances become eligible for withdrawal, as specified in the applicable promotion's terms.
• "KYC" means Know Your Customer — the identity verification process by which spinco confirms a Player's identity, age, and residency in accordance with applicable Philippine regulations.
• "Restricted Territories" means jurisdictions from which access to and use of the spinco Platform is prohibited, as determined by spinco from time to time in compliance with applicable laws.

Acceptance of Terms

By accessing or using the spinco Platform in any capacity — including browsing, registering an account, making a deposit, or participating in any game — you confirm that you have read, understood, and agree to be bound by this Agreement, together with the spinco Privacy Policy and any game-specific rules published on the Platform.

If you do not agree with any part of this Agreement, you must immediately cease using the spinco Platform and, if applicable, close your account. Continued use of the Platform following any published amendment to this Agreement constitutes your acceptance of the revised terms.

spinco reserves the right to update or amend this Agreement at any time. Material changes will be communicated to registered Players via email or Platform notification prior to the effective date of such changes. Your continued use of the Platform after the effective date of any amendment constitutes binding acceptance of the updated Agreement.

Eligibility

To be eligible to register and maintain an active spinco account, you must satisfy all of the following conditions:

1. You are at least 21 years of age at the time of registration and at all times during which you maintain an active account.
2. You are a natural person and not a corporation, partnership, trust, or other legal entity.
3. You are not accessing the Platform from a Restricted Territory.
4. You have not previously been excluded from the spinco Platform or any other gaming platform operated by spinco or its affiliates.
5. You are not a current employee, contractor, director, or officer of spinco, nor an immediate family member of any such person.
6. You are legally permitted to engage in online gaming activities under the laws of your jurisdiction of residence.
7. You are acting on your own behalf and not as an agent for, or on behalf of, any third party.

spinco reserves the right to request documentary evidence of eligibility at any time. Failure to provide satisfactory documentation within a reasonable timeframe may result in account suspension and withholding of pending withdrawals pending review.

Account Registration

Each Player is permitted to hold one (1) active account on the spinco Platform at any time. The creation of multiple accounts by a single individual — whether under the same or different personal details — is strictly prohibited and constitutes a material breach of this Agreement.

When registering your spinco account, you agree to provide accurate, current, and complete information as requested. You further agree to maintain and promptly update your account information to ensure it remains accurate and complete at all times.

You are solely responsible for maintaining the security and confidentiality of your spinco login credentials, including your username and password. You must not share your account credentials with any other person. spinco will not be liable for any loss or damage arising from your failure to maintain adequate account security.

spinco may, at its sole discretion, decline any application to register an account without providing a reason. Account registration does not confer any proprietary rights in the account or any content accessed through it.

As part of the KYC process, spinco may require Players to submit identity documents including, but not limited to: a government-issued photo identification card, proof of address dated within the last three (3) months, and proof of ownership of any payment method used for deposits. KYC verification is required before any withdrawal can be processed.

Deposits & Withdrawals

All financial transactions on the spinco Platform are denominated in Philippine Peso (₱). spinco supports the following approved deposit and withdrawal channels: GCash, Maya, BPI, BDO, UnionBank, Metrobank, 7-Eleven Cliqq, Coins.ph, and USDT TRC20. Available channels may vary and are subject to change without prior notice.

Deposits: Deposits are credited to your spinco wallet promptly following confirmed receipt and processing by the applicable payment provider. spinco does not accept cash deposits. All deposited funds must originate from a payment account held in your own name. Third-party deposits are strictly prohibited.

Withdrawals: Withdrawal requests are subject to completion of KYC verification. Withdrawals will be processed to the same payment method used for the most recent deposit, where possible. spinco reserves the right to impose minimum and maximum withdrawal limits, which are published on the Platform and may be updated from time to time.

Processing Times: spinco endeavours to process withdrawal requests promptly. Processing times may vary depending on the payment channel selected and the outcome of any required security or compliance review. spinco shall not be liable for delays attributable to third-party payment providers.

Dormant Accounts: An account that has not recorded any login activity for a continuous period of twelve (12) months shall be classified as dormant. spinco reserves the right to apply an administrative maintenance fee to dormant accounts in accordance with rates published on the Platform, subject to applicable law.

Bonuses & Promotions

spinco may, at its sole discretion, offer bonuses and promotional incentives to eligible Players. All bonuses are subject to the specific terms and conditions of the applicable promotion, including wagering requirements, time limits, eligible games, and maximum withdrawal limits derived from bonus play.

General bonus conditions applicable to all spinco promotions unless otherwise stated:

• Each promotion is available to eligible Players only and may not be combined with other offers unless explicitly stated.
• Bonuses must be claimed within the specified claim window. Unclaimed bonuses will expire automatically.
• Wagering requirements must be completed in full before any portion of a bonus balance or bonus-derived winnings may be withdrawn.
• Only wagers placed on eligible games contribute toward wagering requirements. Game contribution percentages are published in the applicable promotion's terms.
• spinco reserves the right to withdraw any bonus offer at any time prior to a Player claiming that bonus.
• Any attempt to exploit bonuses through irregular play patterns, arbitrage strategies, or collusion will result in bonus cancellation and may result in account suspension.
• spinco's decision regarding bonus eligibility and calculation of wagering requirements is final and binding.

Game Rules & Fair Play

All games available on the spinco Platform are governed by individual game rules accessible within each game's interface. In the event of any conflict between game-specific rules and this Agreement, the game-specific rules shall prevail with respect to matters of gameplay, and this Agreement shall prevail with respect to all other matters including account management and financial transactions.

All games on the spinco Platform utilise certified Random Number Generator ("RNG") technology supplied by licensed third-party game providers. spinco does not modify, alter, or interfere with game outcomes. Return-to-player ("RTP") percentages are determined by individual game providers and are disclosed in each game's information panel.

In the event of a technical fault, disconnection, or system error during gameplay, spinco will endeavour to resolve the matter fairly based on available game state data. spinco's decision regarding disputed game outcomes, where a technical fault is confirmed, is final. spinco shall not be liable for losses arising from internet connectivity issues on the Player's end.

Minimum and maximum bet limits apply to all games and are displayed within each game interface. spinco reserves the right to modify bet limits at any time without prior notice.

Prohibited Conduct

The following conduct is strictly prohibited on the spinco Platform and constitutes a material breach of this Agreement:

• Providing false, misleading, or fraudulent information at registration or at any subsequent point.
• Registering or operating more than one spinco account.
• Using the Platform for any unlawful purpose, including but not limited to money laundering, fraud, or the financing of terrorism.
• Depositing funds sourced from criminal activity or using the Platform to disguise the origin of funds.
• Using automated software, bots, scripts, or other artificial means to interact with the Platform or gain an unfair advantage in any game.
• Colluding with other Players in any game, including live dealer games.
• Exploiting software bugs, errors, or vulnerabilities — any such discovery must be reported to spinco support immediately.
• Engaging in abusive, threatening, or harassing behaviour toward spinco staff or other Players via any communication channel.
• Accessing or attempting to access another Player's account without authorisation.
• Making chargebacks or payment reversals in bad faith after receiving gaming services.

spinco reserves the right to immediately suspend or permanently terminate any account found to be in breach of this section, and to withhold any funds pending investigation where fraud or illegal activity is suspected. spinco may report suspected illegal activity to relevant Philippine law enforcement authorities.

Responsible Gaming

spinco is committed to promoting responsible gaming and maintaining a safe gaming environment for all Players. spinco recognises that gambling can become harmful for some individuals and has implemented a range of tools to help Players manage their gaming activity.

The following responsible gaming tools are available to all spinco Players through their account settings:

• Deposit Limits: Set daily, weekly, or monthly deposit caps to control your spending.
• Loss Limits: Establish maximum loss thresholds over a defined period.
• Session Time Limits: Receive reminders and automatic session endings after a set play duration.
• Cooling-Off Period: Temporarily suspend your account for a period of your choosing — from 24 hours up to six (6) months.
• Self-Exclusion: Request permanent or long-term exclusion from the spinco Platform. Self-exclusion requests are processed promptly and, once activated, cannot be reversed for the duration of the exclusion period.

Privacy & Data Protection

spinco collects, processes, and stores Player personal data in accordance with its Privacy Policy, which is incorporated into this Agreement by reference. By registering an account with spinco, you consent to the collection and processing of your personal data as described in the spinco Privacy Policy.

spinco implements industry-standard technical and organisational measures to protect Player data against unauthorised access, disclosure, alteration, and destruction. All data transmissions between the Player and the spinco Platform are encrypted using SSL/TLS technology.

spinco may disclose Player information to regulatory authorities, law enforcement agencies, or other third parties where required to do so by applicable Philippine law, court order, or regulatory directive.

Intellectual Property

All content available on the spinco Platform — including but not limited to software, source code, design elements, graphics, logos, trademarks, trade names, text, audio, and video content — is the exclusive intellectual property of spinco or its licensors and is protected by applicable Philippine and international intellectual property laws.

spinco grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial entertainment purposes. This licence does not include any right to copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any content on the Platform.

Any unauthorised use of spinco intellectual property is strictly prohibited and may give rise to civil or criminal liability under applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, spinco shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including but not limited to loss of profits, loss of data, or loss of gaming opportunities resulting from technical faults, service interruptions, or any cause beyond spinco's reasonable control.

spinco's total aggregate liability to you for any claim arising out of or in connection with this Agreement shall not exceed the total value of deposits made by you to your spinco account in the thirty (30) days preceding the event giving rise to the claim.

spinco does not warrant that the Platform will be available at all times, uninterrupted, error-free, or free from viruses or other harmful components. Scheduled and emergency maintenance may result in temporary service interruptions, for which spinco shall not be liable.

Nothing in this Agreement shall limit spinco's liability for fraud, wilful misconduct, or any other liability that cannot be excluded or limited under applicable Philippine law.

Amendments to This Agreement

spinco reserves the right to amend, modify, or replace any part of this Agreement at any time. Where changes are material, spinco will provide reasonable advance notice to registered Players via email to the address associated with their account or via a prominent notice on the Platform prior to the effective date of the change.

It is your responsibility to review this Agreement periodically to remain informed of any updates. Your continued use of the spinco Platform following the effective date of any amendment constitutes your unconditional acceptance of the revised Agreement. If you do not accept the revised terms, you must cease using the Platform and may request account closure.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

In the event of any dispute arising out of or in connection with this Agreement or your use of the spinco Platform, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days of written notice, either party may refer the matter to the appropriate courts of competent jurisdiction in the Philippines.

spinco operates in compliance with applicable Philippine gaming regulations. Players who believe a dispute has not been resolved fairly may escalate their concern to the relevant Philippine regulatory authority where applicable.

These Terms and Conditions were last updated on 1 January 2026. This document supersedes all prior versions of the spinco Terms and Conditions. If any provision of this Agreement is found to be unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
